1. Acceptance of Terms



By accessing or using Arcagen services, you (“Client”) agree to these Terms. If you do not agree, do not use our services.



2. Scope of Services



Arcagen provides AI-powered automation systems designed to replace or optimize administrative and operational workflows, including but not limited to:



Email automation

Scheduling & calendar management

CRM automation & integrations

Lead follow-ups & nurturing systems

Internal workflow automation



All services are custom-built and defined in your Master Services Agreement (MSA) and Statement of Work (SOW).



3. Results & ROI Disclaimer



Arcagen provides systems designed to improve efficiency and reduce operational overhead.



However:



We do not guarantee revenue, profit, or specific ROI outcomes

Any projections (e.g., time saved, cost reduction) are estimates

Results depend on implementation, usage, and external variables


4. Client Responsibilities



Client agrees to:



Provide accurate, complete, and timely information

Grant necessary access to systems, tools, and accounts

Participate in onboarding and feedback loops

Use services in compliance with all applicable laws



Delays or failure to cooperate may impact results and timelines.



5. Payment Terms


Fees are defined in your MSA/SOW

All payments are non-refundable unless explicitly stated

Late payments may result in:

Suspension of services

Removal of system access

Termination of agreement



Arcagen reserves the right to charge late fees where permitted by law.



6. Intellectual Property & Licensing


All Arcagen systems, automations, frameworks, and methodologies remain exclusive property of Arcagen

Client is granted a limited, non-exclusive, non-transferable license to use delivered systems



Client may not:



Resell, replicate, or redistribute Arcagen systems

Reverse engineer or copy workflows


7. Non-Circumvention & Non-Solicitation



Client agrees that during engagement and for 12 months after termination, they will not:



Directly hire Arcagen contractors, employees, or partners

Replicate or recreate Arcagen systems independently or with third parties


8. Confidentiality



Both parties agree to maintain strict confidentiality of:



Business operations

Systems, processes, and strategies

Client and company data



This obligation survives termination indefinitely.



9. AI & Automation Disclaimer



Client acknowledges:



AI-generated outputs may not be 100% accurate

Human oversight is recommended for critical decisions

Arcagen is not responsible for decisions made solely based on AI outputs


10. Third-Party Tools & Integrations



Arcagen may utilize third-party platforms (e.g., CRMs, APIs, automation tools).



We are not responsible for:



Downtime or failures of third-party services

Changes in third-party pricing or policies

Data breaches caused by third-party platforms


11. Data Usage & Security


Client retains ownership of their data

Arcagen may process data solely for service delivery

Reasonable security measures are implemented, but no system is 100% secure


12. Limitation of Liability



To the fullest extent permitted by law:



Arcagen is not liable for indirect, incidental, or consequential damages

Total liability is limited to the amount paid in the previous 3 months


13. Indemnification



Client agrees to indemnify and hold Arcagen harmless from:



Claims arising from misuse of services

Legal violations by the client

Data or content provided by the client


14. Termination



Arcagen may terminate services immediately if:



Client breaches these Terms

Payments are not made

Client engages in unlawful, unethical, or abusive conduct



Client termination terms are defined in the MSA/SOW.



15. Service Suspension



Arcagen reserves the right to suspend services without notice if:



Security risks are detected

Systems are being misused

Payments are overdue


16. Modifications



Arcagen may update these Terms at any time. Continued use constitutes acceptance.



17. Governing Law



These Terms are governed by the laws of the State of Arizona, United States.



18. Dispute Resolution



Any disputes shall be resolved through:



Good faith negotiation

Binding arbitration in Arizona, if unresolved


19. Force Majeure



Arcagen is not liable for delays caused by events outside reasonable control, including:



Natural disasters

Internet outages

Government actions


20. Entire Agreement



These Terms, along with your MSA and SOW, constitute the full agreement between both parties.
